Parchwell is made and licensed by 1001630943 Ontario Inc., a corporation registered in Ontario, Canada ("we", "us", "Parchwell"). "You" means the person or organisation using the software.

Parchwell is desktop software that runs on your own PC. We license it to you; we do not sell it to you, and we do not sell or transfer any ownership in it. Your licence is non-exclusive, non-transferable, and lasts as long as your subscription is current.
You may install and use Parchwell on the machines covered by your licence, for your own work or your organisation's work, including work you do for your clients.
The trial requires no payment method. You are not asked for a card, nothing is authorised against a card, and nothing converts into a charge on its own. When the trial ends, the software stops permitting new work and says so — it does not quietly start billing you.
Your documents and your index remain yours and stay on your machine when a trial ends. Ending a trial does not delete anything.
When Parchwell becomes available for purchase, a subscription runs for the period you pay for and renews at the end of that period unless you cancel. Cancelling stops the next renewal; it does not shorten the period you have already paid for, and you keep full use until that period ends.
Refunds are covered by our refund policy, which forms part of these terms.
We may change prices for future periods. We will not change the price of a period you have already paid for, and we will tell you before a change affects you.
Parchwell uses artificial intelligence to read your documents and answer questions about them. AI output can be wrong, incomplete, or confidently mistaken, and Parchwell's output is no exception.
Parchwell is a finding aid. It surfaces what your own documents and reference material say, and points you at the source so you can check it. It is not an accountant, not a lawyer, not a clinician, and not a substitute for your own professional judgement. It does not provide accounting, tax, legal, medical or other professional advice, and nothing it produces should be filed, relied on, sent to a client, or acted on without you checking it against the underlying source.
You use AI output at your own risk. You are responsible for reviewing and verifying anything Parchwell produces before you rely on it. To the fullest extent the law allows, we accept no liability and owe you nothing in respect of AI-generated output — including any error, omission, mis-citation or misinterpretation in it, and including any loss, penalty, claim, missed deadline or damage arising from your reliance on it.
By using Parchwell you confirm you understand and accept this.
Your documents stay on your machine. We do not receive them, store them or process them on our systems — see the security page for the complete list of what can leave your PC, and the privacy policy for what that means legally.
Because the documents never reach us, you remain solely responsible for them: for having the right to hold and process them, for any duty of confidentiality, privilege or professional secrecy you owe over them, and for backing them up. Parchwell reads your files where they already are and does not copy them, so it is not a backup.
Parchwell is provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, to the fullest extent the law allows. We do not warrant that it will be uninterrupted, error-free, or fit for any particular purpose, or that its output will be accurate or complete.
Some jurisdictions do not allow the exclusion of certain warranties. Where that applies to you, the exclusions above apply only as far as that law permits.
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data, goodwill or business opportunity, however caused.
Where we are found liable despite the above, our total liability for all claims in any twelve-month period is limited to the amount you actually paid us for Parchwell in that period — and where you have paid us nothing, our liability is limited to nothing.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.
You may stop using Parchwell at any time. We may suspend or end your licence if you materially breach these terms — for example by redistributing the software or using it unlawfully — and we will tell you why.
If your licence ends for any reason, your documents and your index remain on your machine and remain yours. We hold nothing to return, and nothing to withhold.
We may update these terms. If a change materially affects you, we will say so on this page and change the date at the top before it takes effect. Continuing to use Parchwell after that means you accept the updated terms; if you do not, stop using it and ask us for a refund under the refund policy if you are inside its window.
These terms are governed by the laws of the Province of Ontario and the laws of Canada that apply there, and the courts of Ontario have jurisdiction.
If you are a consumer or a business outside Canada, this does not take away any protection you have under the mandatory law of the place where you live or operate, and you may bring a claim there instead if that law gives you that right.
Being straight with you: Parchwell is a small company. These terms were written to be plain and fair rather than to win an argument, and there is a person at the other end of support@parchwell.com.
